What is a broker-dealer under state securities law?
A broker-dealer is a person engaged in the business of effecting securities transactions for the account of others or for its own account. A firm executing customer stock trades is a broker-dealer.
Why is an issuer usually excluded from broker-dealer definition?
An issuer selling its own securities is generally not treated as a broker-dealer merely for issuing those securities. A corporation issuing its own stock is an issuer, not a BD solely for that issuance.
Are agents themselves broker-dealers?
No. Individuals representing broker-dealers or issuers are agents, not broker-dealers. A registered rep of a BD is an agent.
